Terms and Conditions

"AS-IS" CONDITION Client agrees to accept the Facility in its "as-is" condition "with all faults". ASSIGNMENT AND SUBLICENSING Client shall not assign any interest in this Agreement or otherwise transfer or sublicense the Facility or any part thereof or permit the use of the Facility to any party other than Client. TERMINATION The eComplex may terminate this Agreement based upon any one or more of the following events: A. Failure of Client to pay the Rental Fee or any other charges due hereunder when the same is due; B. Client fails to perform any of its covenants hereunder. In any of the aforesaid events, and in addition to any and all rights and remedies available to The eComplex by law or in equity, The eComplex may, with or without further notice, forthwith terminate this Agreement and expel and remove Client, or any other person or persons in occupancy from the Facility, together with their goods and chattels, using such force as may be necessary in the judgment of The eComplex or its agents in so doing, without evidence of notice or resort to legal process or becoming liable for any loss of damage which may be occasioned thereby, and repossess and enjoy said Facility, and in addition to any other remedy it may have, The eComplex may recover from Client all damages it may incur by reason of such breach by Client. RESTORATION Any damage to The eComplex caused by the Client, or guests of the Client, will be paid to the eComplex by the Client. The eComplex will not be held liable for damage to, or any loss of, and items left unattended on the premises. AUDIO/VISUAL EQUIPMENT We will assist you with any audio/visual equipment needs that you have or you may bring in your own equipment. The eComplex has a Projection screen, an LCD Projector (compatible with MACs and PCs with VGA connections) and computer compatible Speakers. It is the guest's responsibility to hook up your laptop to our Projector. CANCELLATIONS AND REFUNDS: The patron reserves the right to cancel the event upon written notice received by The E Complex, however fees may apply: A) If an event is cancelled more than 30 days prior to the event date, no fees will be charged B) If an event is cancelled within 30-7 days of the event date, there will be cancellation fee of 50% of the reserved time. C) If an event is cancelled within 6-4 days of the event date, there will be cancellation fee of 75% of the reserved time. D) If the event is canceled within 72 hours of the event date, there will be a charge of 100% of the reserved time. Any of the applicable fees shall be charged onto the credit card referenced to guarantee the reservation. Should The eComplex be able to recoup all, or a portion of the estimated revenue expected from this booking by reselling the cancelled calendar space, then the individual's/company's/organization's liability shall be reduced accordingly. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia. Any legal actions, claims or demands shall be handled in a court of competent jurisdiction within the State of Georgia.
